These Terms and Conditions govern the access and purchase of products on the website www.sergialex.com (hereinafter, the “Website”), owned by SERGIALEX.SCP (hereinafter, “SERGIALEX”), which is the entity responsible for marketing the products displayed on the Website and managing the contractual relationship with the user (hereinafter, the “User”) for the purchase of products on the Website.

Notwithstanding the above, depending on the product purchased by the User, specific conditions may apply based on the characteristics of the product. These specific conditions are included in these Terms and Conditions.

2. Purpose

This document establishes the terms and conditions (hereinafter, the “Terms and Conditions”) that will govern navigation through the Website and the purchase of products offered by SERGIALEX to Users.

The Website may offer products from any of the companies that are part of the group to which SERGIALEX belongs, with each entity being solely responsible for matters related to its own products and, in particular, the contractual relationship with the User. SERGIALEX and its parent company are not jointly or subsidiarily responsible for other entities.

Any matters not expressly addressed in these Terms and Conditions will be reserved to SERGIALEX, without prejudice to the application of the provisions of current regulations.

By checking the box for accepting these Terms and Conditions and following all the required steps online, the User expressly accepts these terms with the same validity as a handwritten signature. In doing so, the User acknowledges being a person with sufficient capacity to assume the obligations derived from their actions through the Website and confirms that they have read and understood its content.

In any case, to contract with SERGIALEX, the User must be of legal age (≥ eighteen (18) years old) and possess the legal capacity necessary to enter into contracts.

3. Access to the Website

Access to the Website is completely free of charge, requiring only the data necessary for the User to manage their purchases. Access to the Website by minors is prohibited. However, in the case of access by a minor, it will be presumed that such access has been carried out with the prior and express authorization of their parents, guardians, or legal representatives, without prejudice to SERGIALEX’s right to perform any verifications it deems appropriate.

Accessing and browsing the Website does not require registration. However, to make any purchase or to receive advertising, information, and periodic promotional offers about our products, it will be necessary to complete the web forms provided for this purpose.

The data provided by Users must be truthful. If the information provided is incomplete, inaccurate, or false, Users agree to indemnify SERGIALEX for any damages, losses, or claims from third parties that may arise as a result of the inaccuracy or falsehood of the data provided. Under no circumstances will SERGIALEX be responsible for the accuracy of the data provided by Users, making each User solely responsible for any possible consequences, errors, or failures resulting from the lack of quality in the data.

4. Electronic Contracting

In accordance with applicable regulations, contracts executed electronically will have the same legal effect as those executed by other means, provided that consent and the necessary validity requirements are met.

The electronic support in which the electronically executed contract is recorded will be admissible as documentary evidence in the event of a dispute between the parties.

For these purposes, it will be understood that following all phases of the purchase process and, where applicable, paying the corresponding amount necessarily imply the provision of the required consent for the contract.

Likewise, Users are provided with all information related to the contracting process before initiating the procedure.

4.1. Prior Information

These Terms and Conditions are available to all Users of the Website through the following link [https://www.sergialex.com/terms.html], free of charge.

Accessing the contracting process is completely free, with no additional costs beyond those associated with the User’s internet connection.

All the products sold are fully described in their respective product descriptions made available to the Users. Any matters not expressly indicated in these descriptions are not included.

The contract between SERGIALEX and the User is considered completed when the User finalizes the contracting process by clicking the “Buy” button or a similar button. Following all the phases of the electronic contracting process and providing all the requested data, together with checking the box indicating acceptance of these Terms and Conditions, constitutes an explicit declaration of the User’s intent to accept these terms.

SERGIALEX, as an information society service provider, will archive the electronic document formalizing the contract. This electronic document will be accessible to the User, who can download and print it. It will include these Terms and Conditions. SERGIALEX will send an email to the User confirming the purchase, along with the corresponding invoice.

SERGIALEX will implement appropriate technical measures to identify and correct technical errors in managing information where it is their responsibility.

The language used for the contracting process and the formalization of the contract will be Spanish, unless otherwise indicated.

4.2. Purchase Procedure

The contracting process for the products offered is conducted electronically through the Website. Anyone with internet access can make a purchase, as all the products offered on the Website are publicly accessible, with no restrictions on viewing them.

The complete procedure that all Users wishing to purchase products through the Website must follow includes the following steps:

  • Product Selection: After accessing the Website, the User must select the desired products. It is crucial to review their descriptions, features, conditions, delivery times, and final prices indicated in each product’s description. The User should specify the quantities they wish to purchase. Selected products will be added to the User’s “Cart,” and the User can continue shopping, with all selected items included in the “Cart.” The User can access their “Cart” at any time by clicking the icon located in the upper-right corner of the page.
  • Initiating the Purchase Process: Once all desired products are selected, the User must begin the electronic purchase process by clicking the “Buy” button.
  • Providing Personal and Billing Information: To proceed with the purchase, the User must provide personal data and information required for billing and shipping the products. The User will be directed to a page where they must enter personal and banking details and choose from the options offered by SERGIALEX. Providing this information is essential to complete the purchase.
  • Payment Methods: On the “Payment Method” page, the User must select their preferred payment option from those offered by SERGIALEX on the Website: debit/credit card (VISA, Mastercard, or American Express), PayPal, Klarna, or similar. SERGIALEX does not access the User’s banking details, as they are directly managed by the corresponding financial institutions. The User is informed that payments through these methods may be subject to specific conditions set by the providers, which are independent of these Terms and Conditions. SERGIALEX recommends that Users read, understand, and accept the providers’ conditions.
  • Order Confirmation Email: After successful payment, the User will receive an email confirming the order. The email will include a summary of the purchased items, the chosen shipping method, and the delivery address.
  • Payment Errors: If a payment error occurs, the User will receive an automatic error message, and the order will not be processed until the payment process is successfully completed.

The Website offers various types of products. SERGIALEX markets sunglasses, accessories, fashion items, home and decoration objects, jewelry, personalized items, and more. Below is a detailed description of the characteristics of these product categories:

  1. Sunglasses: SERGIALEX markets non-prescription sunglasses. The product descriptions include lens type, category, UV protection, frame details, and product dimensions. Users are advised to consult an ophthalmologist if they have pre-existing eye conditions or specific requirements regarding lenses.
  2. Jewelry and Costume Jewelry: SERGIALEX offers jewelry and costume jewelry, with details provided in each product description.
  3. Accessories: SERGIALEX markets accessories, with specific characteristics detailed in each product description.
  4. Fashion and Style: SERGIALEX offers clothing, apparel, and fashion accessories. Product features are outlined in their respective descriptions.
  5. Covers and Accessories for Technological Devices: SERGIALEX markets covers and accessories for technological devices, with detailed descriptions provided for each product.

5. Economic Conditions

5.1. Prices

The current prices of the products are displayed alongside their descriptions on the Website and are publicly accessible for viewing.

All prices are shown in Euros unless explicitly stated otherwise.

All displayed prices are final, expressly including Value Added Tax (VAT) and any applicable fees. However, the final price will include any applicable increases or discounts, surcharges, or additional fees for ancillary services, payment methods, etc. These amounts will be clearly detailed to the User during the contracting process.

The applicable VAT rate for products sold on the Website is TWENTY-ONE PERCENT (21%) as the general tax rate for the categories and subcategories of the products offered.

For purchases made by Users from the Canary Islands, Ceuta, or Melilla, the applicable taxes will be those determined by the legislation in force at the time, without prejudice to any additional taxes applicable in these territories.

5.2. Discount Codes

SERGIALEX may periodically offer discount codes to its Users. These discounts can only be applied according to the specific instructions provided by SERGIALEX for each code. In any case, Users may only use one discount code per order.

The use of discount codes may not be compatible with certain promotional actions or collections.

5.3. Payments

Once the User has purchased any product on the Website and completed payment through one of the methods provided by SERGIALEX, they will receive an email containing all relevant information about the purchased products, their prices, applicable taxes, and any other legally required details.

In all cases, online payments will be processed via a platform provided by an external financial entity, hosted on a secure SSL website. To confirm security, ensure the web address for the payment page begins with https://.

The purchase will only become effective once SERGIALEX receives confirmation of payment from the financial entity managing the secure payment. If the transaction is denied or the total amount for the products (including surcharges for processing fees and bank transfer commissions) is not provided, the purchase will be suspended, and the User will be notified that the transaction was not completed.

Once full payment is received, SERGIALEX will automatically send the corresponding invoice to the User’s email. By accepting these Terms and Conditions, the User expressly consents to receiving the invoice electronically. If the User prefers a paper invoice, they can contact SERGIALEX and provide a mailing address for its delivery.

In accordance with current legislation, SERGIALEX cannot modify the billing details for completed sales. Therefore, invoices will be issued in the name of the person who contracts the Services, and the User must ensure the correct name is provided when placing the order. Duplicate invoices cannot be issued for third parties, nor can they be issued after the warranty period has expired.

5.4. Payment Methods

For one-time purchases, we accept the following credit and debit cards: Visa, MasterCard, and American Express. Additionally, we accept PayPal and Klarna for one-time purchases.

To offer Klarna’s payment methods, we may share your personal data in the form of contact details and order information during the payment process. This allows Klarna to evaluate your eligibility for their payment methods and tailor the available options for you. Your personal data will be processed in accordance with Klarna’s privacy notice.

6. Delivery Conditions for Purchased Products

6.1. Home Delivery

Home delivery of purchased products will, by default, be made to the physical address provided by the User.

Home delivery may incur additional shipping costs based on the products purchased. These costs will always be displayed to the User during the contracting process. Products will be delivered to the address specified by the User.

  • Delivery times are subject to the proper and normal functioning of the logistics and shipping process, as well as the volume of orders at any given time.
  • Delivery rates may be adjusted during promotional campaigns. Refer to our FAQs/Promotions section to verify applicable prices for each offer.

Once the products have been handed over to the corresponding postal service, SERGIALEX cannot control the shipment and will not be held responsible for any delivery delays caused by the postal service.

SERGIALEX informs Users that products may be delivered in separate shipments.

7. Warranties and Returns

All products offered are original, covered by the manufacturer’s warranty, and free from defects, with legally recognized warranty periods.

Consumers and Users may return to SERGIALEX, free of charge, any defective product or one that does not conform to its description within three (3) years from the date the product is received. If the defect becomes apparent more than two (2) years after the product’s delivery, the User must prove to the manufacturer or seller that the defect, fault, or lack of conformity existed at the time of delivery. The consumer must notify SERGIALEX through the Contact channel provided, including details of the defective product(s), photos, and other evidence of defects, along with a detailed list of the observed defects, the purchase order, and any additional documentation identifying the purchase.

Once SERGIALEX receives the consumer’s notification and analyzes the issue through its Quality Department, it will inform the consumer as soon as possible whether the return is valid, objectively considering the product’s nature or the alleged defect or non-conformity. If the return is valid, SERGIALEX will provide instructions for sending the defective product to its warehouse:

SERGIALEX will not accept returned products unless the consumer follows the process detailed above.

Each product to be returned must be unused or, in the case of normal usage, in the best possible condition. It must be returned with all original tags, packaging, documentation, and accessories. Failure to comply with this may result in SERGIALEX’s Quality Department objectively assessing whether the product is defective based on its nature and the defect’s severity.

If the product does not conform to the contract, the User may choose between repair or replacement, unless one of these options is impossible or disproportionate. Once the User communicates their choice to SERGIALEX, both parties must adhere to it. If the repair is carried out but the product still does not conform, the User may request its replacement or, if replacement is disproportionate, opt for a price reduction or contract termination.

SERGIALEX generally informs consumers that repair may not be possible due to the disproportionate nature of such actions. If repair is possible given the specific product and defect, the consumer will be explicitly informed and allowed to choose between repair and replacement.

Consumers can replace the defective product with one of identical characteristics at no cost. If an identical replacement is not possible, the consumer may choose a similar model.

The delivery of the replacement product or new model will occur within three (3) to five (5) business days from when SERGIALEX confirms the replacement or shipment.

If repair is not possible and replacement does not conform to the contract, the consumer may opt to terminate the contract.

Refund periods depend on the payment method used by the consumer:

  • For payments made by credit/debit card, refunds will be processed within fourteen (14) calendar days.
  • For PayPal payments, refunds will be processed within twenty-four (24) to forty-eight (48) business hours.

8. Right of Withdrawal

Consumers and Users have the right to withdraw from their remote order without providing a reason within fourteen (14) calendar days of receiving the product. They may return the entire order or specific items without penalty or explanation.

Consumers and Users are responsible for the direct costs of returning the product(s) to SERGIALEX, whether for the entire order or specific items.

To initiate a return, the consumer must contact SERGIALEX at www.sergialex.com/pages/contact. Upon receipt of this communication, SERGIALEX will provide instructions for sending the product to its offices or warehouses:

SERGIALEX is not responsible for the courier service the consumer chooses for the return. Consumers are advised to request proof of delivery from the courier to confirm the product was delivered to SERGIALEX. SERGIALEX may request this proof for verification.

Return shipping costs (e.g., courier fees) must be borne directly by the consumer.

The product must be in perfect condition, with all original tags, packaging, documentation, and accessories. Failure to meet these conditions or if the product is damaged may result in depreciation or rejection of the withdrawal request.

Once SERGIALEX verifies the returned product is in good condition, it will refund the total amount paid by the consumer. If the entire order is returned, the refund will include the delivery shipping costs. If only some items are returned, SERGIALEX will not refund the delivery costs.

Refund processing times depend on the payment method used:

  • For credit/debit card payments, refunds will be processed within fourteen (14) calendar days.
  • For PayPal payments, refunds will be processed within twenty-four (24) to forty-eight (48) business hours.

SERGIALEX will issue refunds as quickly as possible and always within fourteen (14) calendar days of receiving the withdrawal notice.

For promotional purchases (e.g., “2×1” or “3×2” offers), withdrawal applies to the entire set of items included in the promotion.

The right of withdrawal does not apply to products customized according to the User’s specifications or clearly personalized, as outlined in Article 103(c) of Royal Legislative Decree 1/2007.

9. Product Exchange Policy

SERGIALEX does not allow exchanges between a purchased product and another product offered on the Website.

If the User wishes to exchange a product, they must exercise their right of withdrawal as outlined in the previous clause and then purchase the new product they desire separately.

10. Customer Support

SERGIALEX, as the Website operator and responsible for marketing and selling the products offered, provides a customer support service to address all queries, complaints, claims, and suggestions related to product purchases through the Website.

The following contact methods are available to Users:

Response times are subject to the availability of personnel handling inquiries. SERGIALEX will aim to respond to claims or queries as quickly as possible, and in any case, no later than one (1) month from the date the User submitted the claim or query.

Complaint forms are available to Users upon request.

11. Website Usage Rules

The following actions are prohibited, and the consequences will be the sole responsibility of the User if undertaken, whether for legal or unauthorized purposes, with or without economic intent:

  • Using the Website in any manner that could cause damage, interruptions, inefficiencies, or defects in its operation or a third party’s computer.
  • Transmitting, installing, or publishing viruses, malicious code, or harmful programs/files through the Website.
  • Collecting personal data from other Users through the Website.
  • Using the Website unlawfully, contrary to good faith, morality, or public order.
  • Registering on the Website with a false identity, impersonating third parties, or taking any action that might confuse others regarding the origin of a message.
  • Accessing any unauthorized section of the Website, other systems or networks connected to the Website, servers, or services provided through the Website by hacking, password extraction, or other illegitimate means.
  • Breaching or attempting to breach the security/authentication measures of the Website or any connected network.
  • Taking actions that cause disproportionate or unnecessary saturation of the Website’s infrastructure or connected systems/networks.
  • Impeding the normal functioning of any event, contest, promotion, or activity on the Website by altering or attempting to alter the access, participation, or operation, or falsifying results through fraudulent methods.
  • Communicating content through the Website that infringes the secrecy of communications, violates intellectual/industrial property rights, or breaches data protection laws.
  • Sharing spam or unrelated links through the Website or its designated communication channels.

Violation of any of the above obligations may result in SERGIALEX taking appropriate legal actions, including removing or blocking the User’s account, without entitlement to any compensation for damages caused to the User in breach.

12. Intellectual and Industrial Property Rights

The provider is the owner or, where applicable, has the corresponding licenses for the exploitation rights of the intellectual and industrial property of the Website, including all content offered on it, such as the platform itself, texts, photographs, illustrations, logos, trademarks, graphics, designs, interfaces, or any other information or content, as well as the services available through it.

Under no circumstances will access, navigation, and use of the Website by the User, or the utilization, purchase, and/or contracting of products or services offered through it, imply any waiver, transfer, license, or total or partial cession of such rights by the provider. The User is granted a right to use the content and/or services of the Website strictly for personal purposes and only to enjoy the services provided under these Terms of Use.

References to registered trademarks, trade names, or other distinctive signs, whether owned by the provider or third-party companies, implicitly prohibit their use without the provider’s or rightful owners’ consent. Unless expressly stated otherwise, accessing, browsing, or using the Website and its content does not grant the User any rights over the distinctive signs included.

All intellectual and industrial property rights over the Website’s content and/or services are reserved. Modifying, copying, reproducing, publicly communicating, transforming, or distributing any content from the Website, in whole or in part, for public or commercial purposes without prior, express, and written authorization from the provider or, where applicable, the rightful owner of the respective rights, is strictly prohibited.

The removal or manipulation of copyright indications or other credits identifying content owners, as well as technical protection measures, digital fingerprints, or any other protection mechanisms included in the content, is also prohibited.

If the User submits any type of information to the provider via the channels enabled for this purpose, they declare, guarantee, and accept that they are entitled to do so freely, that the information does not infringe any intellectual property, industrial property, trade secrets, or other rights of third parties, and that the information is not confidential or harmful to third parties.

The User acknowledges that they will be held responsible, indemnifying the provider for any communication they submit personally or on their behalf. This responsibility extends to the accuracy, legality, originality, and ownership of the information provided, without limitation.

If the User becomes aware of any illicit, illegal, or unlawful content or content that may infringe intellectual and/or industrial property rights on the Website, they must immediately notify the provider via contact@sergialex.com, so that appropriate measures can be taken.

Similarly, if any User or third party considers that the Website’s content infringes their intellectual and/or industrial property rights or other rights, they must send a communication to contact@sergialex.com containing the following:

  • Identification and contact details of the claimant or their legal representative.
  • Documentation proving ownership of the allegedly infringed rights.
  • Detailed account of the allegedly infringed rights and their exact location on the Website.
  • Explicit statement by the claimant that the use of the content was unauthorized by the holder of the allegedly infringed rights.

13. Links

13.1. Links to Other Websites

If the Website displays links to other websites via buttons, links, banners, or embedded content, the provider informs that these are managed directly by third parties. The provider does not have the human or technical means to monitor or control the information, content, products, or services provided by other platforms linked from the Website.

Consequently, the provider assumes no responsibility for any aspect related to the linked platform or website, including its operation, access, data, information, files, quality and reliability of its products and services, or its links and content.

If Users become aware that the activities of such third-party websites are illegal or violate moral or public order, they must immediately notify the provider so that the link can be disabled promptly.

The establishment of any link from the Website to another unrelated page does not imply any relationship, collaboration, or dependency between the provider and the party responsible for the external website.

13.2. Links to SERGIALEX on Social Media and Other Platforms

These links aim solely to facilitate User access to such channels on the various platforms.

The inclusion of these links does not imply any relationship, acceptance, or endorsement by the provider regarding the content or services on these platforms.

The provider does not share private information about its Users with third-party platforms. Any information Users choose to share on these platforms is their sole responsibility, and the provider does not intervene.

Activating and using these links may require the User to log in or authenticate on these external platforms, which are entirely outside the provider’s control. As a result, the provider is not responsible for the security settings or content of these external environments.

13.3. Links to the Website from Other Pages

The provider does not authorize links to the Website from pages with illicit, illegal, degrading, or obscene content or that otherwise violate laws, morality, or public order.

The User will be deemed to have expressly accepted such modifications or updates in the following cases:

  • When making a new purchase, they must expressly accept the updated Terms and Conditions.

16. Suspension of the Website

SERGIALEX reserves the right to suspend, modify, restrict, or interrupt access, navigation, use, hosting, or downloading of the Content or use of the Website’s services, either temporarily or permanently, for Users who violate any of the provisions outlined in these Terms of Use. No compensation may be claimed by the User for this reason.

17. Notifications

All communications between SERGIALEX and the User regarding the purchase of products through the Website will be made in writing and in accordance with the communication procedures established in these Terms and Conditions for each specific case.

18. Language

SERGIALEX may translate these Terms and Conditions, its Privacy Policy, or any other operational rules, policies, or procedures published on the Website. In case of conflict, the Spanish version will prevail.

19. Supplier Policy

As a prestigious and reliable company committed to providing high-quality products to its customers, SERGIALEX recognizes its responsibility to ensure its suppliers act ethically. We expect our suppliers to regularly provide an environment that safeguards the health and safety of employees and respects their basic human rights.

All suppliers must comply with their national laws and regulations regarding employment, particularly in the following areas:

  • Minimum working age.
  • Voluntary employment.
  • Health and safety.
  • Freedom of association and the right to collective bargaining.
  • Non-discrimination.
  • No harsh or inhumane treatment.
  • Working hours.
  • Wages.
  • Working conditions.

SERGIALEX will never knowingly source supplies from countries that violate these principles. Additionally, we expect our suppliers to extend these principles to their dealings with their own suppliers.

Due to the often-complex nature of the supply chain, it is not always possible to monitor and control the conditions of every individual involved in the production of our products. 21. General Provisions

The headings of the various clauses are for informational purposes only and will not affect, qualify, or expand the interpretation of these Terms of Use.

The provider reserves the right to modify the terms and conditions stipulated here, in whole or in part, by publishing any changes in the same manner as these Terms of Use or through any form of communication directed at the Users.

The validity of these Terms of Use coincides with the time they are displayed until they are modified, at which point the modified Terms of Use will become effective.

Regardless of any specific conditions that may apply, the provider may terminate, suspend, or interrupt access to the Website’s content at any time without prior notice, and Users will not be entitled to any compensation. 23. Applicable Law and Jurisdiction

Whenever the applicable regulations allow for the possibility of a specific jurisdiction, any dispute arising from or related to this Website will be subject to Spanish legislation in effect at the time of the dispute.

The parties submit to the Courts and Tribunals of Barcelona and, where applicable, to the consumer arbitration tribunals or similar bodies to which the provider is affiliated at the time of the dispute.

Notwithstanding the above, and in accordance with Royal Legislative Decree 1/2007, of November 16, approving the revised text of the General Law for the Defense of Consumers and Users, in case of a dispute, the parties will submit to the courts and tribunals of the User’s domicile.
